FirmSpan is a document collection platform designed for law firms. The Service enables law firms to request, receive, and verify documents from their clients via SMS-based magic links and AI-powered verification.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload malicious content or malware
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service
  • Send unsolicited SMS messages or spam
  • Violate any applicable laws or regulations

5. SMS Messaging

By using our SMS features, you represent and warrant that:

  • You have obtained proper consent from recipients before sending messages
  • You will comply with all applicable telecommunications laws
  • You will honor opt-out requests promptly
  • Messages sent are related to legitimate business purposes

6. Data and Privacy

Your use of the Service is subject to our Privacy Policy. You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining necessary consents from your clients.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by FirmSpan and are protected by international copyright, trademark, and other intellectual property laws.

8. User Content

You retain ownership of content you upload to the Service. By uploading content, you grant us a limited license to store, process, and display that content as necessary to provide the Service.

9. Third-Party Services

The Service integrates with third-party services (e.g., Twilio, OpenAI). Your use of these integrations may be subject to additional terms. We are not responsible for third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIRMSPAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

12. Indemnification

You agree to indemnify and hold harmless FirmSpan from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account at any time for any reason. Upon termination, your right to use the Service will cease immediately. You may request export of your data before termination.

14. Changes to Terms

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

These Terms shall be governed by the laws of the State of Utah, without regard to its conflict of law provisions.
